1. Subject of the service: Nexora AI Systems S.L. (the "Provider") makes the ProfilTurbo Software-as-a-Service available to the user for optimising Google Business Profiles via cloud interfaces. The functional scope depends on the booked plan and may include analytics, AI-assisted text generation and automated actions executed through the Google Business Profile API.
2. Accounts and registration: Use of the service requires registration via Google OAuth. The user is responsible for protecting their credentials and the linked Google account against unauthorised access. All activity carried out through the account is attributed to the user. Any suspected misuse must be reported to the Provider without delay.
3. Subscription plans and payments: The prices shown during the checkout process apply.
3a. Ultimate plan: Initial term of 12 months from contract conclusion. Price: $119/month, billed monthly in advance via Stripe. Cancellation: in writing by e-mail to [email protected] or in the account — notice period of 2 months before the end of the term. If not cancelled in time, the contract automatically renews for a further 12 months. Amounts already paid are non-refundable.
3b. Flex plan: Monthly term, automatically renewing for one further month at a time. Price: $159/month, billed monthly in advance via Stripe. Cancellation: at any time, effective at the end of the current month — by e-mail to [email protected] or in the account. Amounts already paid for the current month are non-refundable.
3c. Price changes: The Provider reserves the right to adjust prices with 30 days' prior notice. Existing Ultimate plans are exempt from price changes until the end of the current contract term — new prices only apply from the next renewal onwards. Flex customers have the right to terminate the contract extraordinarily, effective at the end of the current month, in the event of a price increase.

4. Limitation of liability: The software is provided "as is". The Provider is not liable for temporary outages, changes or restrictions of the Google API or other third-party services, nor for suspensions, restrictions or changes carried out by Google on the user's profiles. Liability for slight negligence is excluded to the extent permitted by law. Liability for intent, gross negligence and for injury to life, body or health remains unaffected. In particular:
4.1 Customer responsibility: The customer is the sole owner and controller of their Google Business Profile. The customer alone decides which functions are executed automatically or manually. ProfilTurbo assumes no liability for content released or activated by the customer.
4.2 Platform dependency: ProfilTurbo uses the Google Business Profile API. In the event of changes, restrictions or outages on Google's side, ProfilTurbo assumes no liability for limited or unavailable functionality.
4.3 Consequential damages: ProfilTurbo is not liable for indirect damages, lost profits or data loss arising in connection with use of the service.
4.4 Liability cap: ProfilTurbo's liability is capped at the amount of service fees paid in the last 3 months.
4.5 Availability: ProfilTurbo targets an availability of 99% but does not guarantee uninterrupted operation. Scheduled maintenance is announced in advance.
5. Intellectual property and licence: All rights in the software, including source code, designs, AI models and documentation, remain exclusively with Nexora AI Systems S.L. For the duration of the subscription, the user receives a simple, non-transferable right of use. Reverse engineering, resale or provision to third parties is prohibited.
6. Applicable law and jurisdiction: Spanish law applies, to the exclusion of the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction for all disputes is Valencia, Spain, to the extent permitted by law.
